Terms and Conditions for the ORI Token Private Sale

1. Acceptance of Terms

By participating in the ORI Token Private Sale (the "Sale"), you acknowledge that you have read, understood, and agree to these Terms and Conditions.

2. Eligibility

  • Participants must be at least 18 years old or of legal age in their jurisdiction.

  • Participants must comply with all applicable laws and regulations related to their participation in the Sale.

  • The Sale is not available to residents of jurisdictions where such offerings are prohibited.

3. Token Information

  • The ORI token is issued by Orina and is subject to the terms of the project’s whitepaper.

  • The total supply of ORI tokens allocated for the Private Sale is limited.

4. Purchase Process

  • Participants must fill out the Private Sale Participation Form to express their intent to purchase ORI tokens.

  • Upon confirmation of participation, participants will receive payment instructions via email.

  • Payment must be made in the specified cryptocurrency or fiat currency.

5. Vesting Schedule

  • All tokens purchased during the Sale will be subject to a 1-year cliff, after which they will be released linearly over the next 2 years.

  • Participants acknowledge that they will not have access to their tokens until the vesting period has concluded.

6. Use of Funds

  • Funds raised during the Sale will be used for marketing, development, operational expenses, and other initiatives to support the Orina project.

7. No Guarantees

  • Participation in the Sale does not guarantee any return on investment, and the value of the ORI token may fluctuate.

  • Participants acknowledge that investing in cryptocurrency is inherently risky.

8. Limitation of Liability

  • Orina, its founders, and its team shall not be liable for any losses or damages arising from participation in the Sale or the subsequent value of the ORI token.

  • Participants agree to indemnify and hold harmless Orina and its affiliates from any claims or damages arising out of their participation in the Sale.

9. Modifications

  • Orina reserves the right to modify or terminate the Sale at any time for any reason.

  • Any changes will be communicated to participants via email or through official channels.

10. Governing Law

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Orina operates.
